1. Acceptance of Terms

By accessing and using the YieldX platform ('the Platform'), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service, our Privacy Policy, and all applicable laws and regulations. If you do not agree to these terms, you are prohibited from using our services.

2. Eligibility and User Declarations

You must be at least 18 years old and legally capable of entering into binding contracts. By using the Platform, you expressly represent and warrant that you are not a citizen or resident of the United States of America or Israel. You are responsible for complying with all laws in your jurisdiction, and you are prohibited from using our services if you are located in a restricted jurisdiction or are subject to any economic sanctions.

3. High-Risk Investment Acknowledgment

You explicitly acknowledge and agree that investing in cryptocurrency and DeFi protocols like YieldX is highly speculative and involves substantial risk of loss. The value of digital assets is extremely volatile, and you may lose your entire investment. Our services are a high-risk investment vehicle. You should not invest more than you can afford to lose and should seek independent financial advice if you are unsure. YieldX does not provide financial advice.

4. Citizenship and Residency Warranties

You hereby declare, warrant, and covenant that: (a) you are not a United States person as defined under U.S. federal tax law; (b) you are not a resident of Israel; (c) you are not acting on behalf of any U.S. person or Israeli resident; (d) you understand that violation of these warranties may result in immediate termination of services and forfeiture of funds; (e) you will immediately notify us if your citizenship or residency status changes to include the United States or Israel.

5. Financial Risk Disclosures

You understand and accept that: (a) cryptocurrency investments carry extreme risk and you may lose 100% of your investment; (b) past performance does not guarantee future results; (c) the Platform's strategies may fail and result in total loss; (d) market volatility can cause rapid and substantial losses; (e) regulatory changes may impact the Platform's operations; (f) smart contract bugs or exploits could result in loss of funds; (g) you are investing at your own risk and have conducted your own due diligence.

6. No Warranties; Limitation of Liability

The Platform is provided on an 'as is' and 'as available' basis, without warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. YieldX is a non-custodial software provider. We are not liable for any direct, indirect, incidental, special, exemplary, or consequential damages or losses arising from your use of the platform, including losses from smart contract vulnerabilities, market volatility, or oracle failures. Our total liability shall not exceed the amount of fees paid to us in the 12 months preceding the claim.

7. Indemnification

You agree to indemnify, defend, and hold harmless YieldX, its developers, affiliates, officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Platform; (b) your violation of any term of these Terms of Service; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; (d) any claim that your use caused damage to a third party.

8. User Responsibilities & Prohibited Activities

You are solely responsible for securing your wallet, private keys, and any other credentials. You agree not to engage in any illegal activities, including but not limited to money laundering, terrorist financing, market manipulation, or attempting to hack, exploit, or disrupt the Platform's smart contracts or infrastructure. You will not use the Platform if you are a politically exposed person (PEP) or subject to economic sanctions.

9. Regulatory Compliance

You acknowledge that cryptocurrency regulations are evolving and you are solely responsible for compliance with all applicable laws in your jurisdiction. YieldX makes no representations regarding the legal status of cryptocurrency or DeFi protocols in your jurisdiction. You agree that YieldX is not responsible for any legal or regulatory consequences resulting from your use of the Platform.

10. Dispute Resolution and Governing Law

Any disputes arising from these terms shall be resolved through binding arbitration in accordance with the rules of the jurisdiction where YieldX foundation is registered. You waive any right to participate in class action lawsuits. These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the YieldX foundation is registered, without regard to its conflict of law provisions.

11. Force Majeure

YieldX shall not be liable for any failure or delay in performance under these Terms which is due to fire, flood, earthquake, elements of nature or acts of God, acts of war, terrorism, riots, civil disorders, rebellions or revolutions, or any other cause beyond our reasonable control.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these terms at any time. Material changes will be posted on our website at least 30 days before becoming effective. Your continued use of the platform after such modifications will constitute your acceptance of the new terms. If you do not agree to the modified terms, you must discontinue use of the Platform.
